Terms of Service

Last updated: October 3, 2026 · Effective: July 1, 2026

Please read these Terms of Service carefully before using EngageIQ. They govern your access to and use of our customer engagement platform. By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using EngageIQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and EngageIQ Ltd., a company registered in Nigeria.

2. Description of Service

EngageIQ provides an email marketing and customer engagement platform. You can keep customer records, sort them into Groups, send email campaigns, and run automated journeys. Email is sent by EngageIQ, from your own domain once you verify it. SMS and push notifications are sent from journeys through an SMS or push provider account that you connect yourself (see section 3A). The Service includes access to dashboards, APIs and related tools as described on our website. Features are provided as they exist at the time you use them; we do not promise features that are not yet available.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

3A. Your Own Domains and Provider Accounts

You may connect a domain you own or control so that email is sent from it. You are responsible for the DNS records we ask you to add and for keeping them in place; email from a domain that is not verified is sent from an EngageIQ address. You may also connect your own account with a third-party SMS or push provider (for example Termii, Twilio, Africa's Talking, Vonage, Firebase or OneSignal). That provider's terms, prices and availability apply to those messages, you pay the provider directly, and you are responsible for any sender ID registration and for following the rules that apply to those messages, including those of the Nigerian Communications Commission. Messages sent through your provider still count towards your plan's monthly limits. We are not responsible for a third-party provider's service, charges or delivery.

4. Acceptable Use

You may not use the Service to send spam, unsolicited messages, or communications that violate applicable law. You must obtain proper consent from recipients before sending marketing communications. You may not import, upload or send to purchased, rented, borrowed, shared, scraped or harvested lists, and you confirm the source of and consent for every list you import. Accounts whose bounce or complaint rates show a list was not permission-based may have sending paused or suspended. You agree not to use the Service for unlawful purposes, to infringe intellectual property rights, to distribute malware, or to interfere with other users' access to the Service.

5. Data and Privacy

Your use of the Service is governed by our Privacy Policy. You acknowledge that EngageIQ may process personal data on your behalf as a data processor under the Nigerian Data Protection Regulation (NDPR) and, where applicable, the EU General Data Protection Regulation (GDPR). A Data Processing Agreement (DPA) is available upon request for Enterprise plan subscribers.

6. Payment and Billing

You agree to pay all fees associated with your chosen subscription plan. Fees are billed in advance on a monthly or annual basis, through Bachs (plans first paid through Paystack keep renewing through Paystack until cancelled). A plan paid by card renews automatically at the end of each period until you cancel it. A payment by bank transfer pays for one period and does not renew: we email you before that period ends, and sending stops 3 days after it ends unless you pay for the next period. Naira prices are worked out from our US dollar prices; the amount is shown before you pay, and a change applies only to payments made after it. All charges are non-refundable except where required by law or as set out in our Refund and Cancellation Policy (engagecl.com/legal/refunds), which forms part of these Terms. We reserve the right to suspend or terminate access for non-payment.

7. Intellectual Property

The Service, including all software, content, and trademarks, is the property of EngageIQ Ltd. and protected by applicable intellectual property laws. You retain ownership of content you submit through the Service. You grant EngageIQ a limited license to use your content solely to provide the Service.

8. Limitation of Liability

To the maximum extent permitted by law, EngageIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amounts you paid to us in the three months preceding the claim.

9. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the Service ceases immediately. You may export your data for 30 days following termination. EngageIQ reserves the right to delete your data after this period.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be resolved by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
